TERMS & CONDITIONS—THE BASICS

IMPORTANT NOTICE: PLEASE READ THESE TERMS & CONDITIONS CAREFULLY. THEY CONTAIN IMPORTANT INFORMATION ABOUT YOUR LEGAL RIGHTS AND OBLIGATIONS, INCLUDING LIMITATIONS OF LIABILITY, ASSUMPTION OF RISK AT EVENTS, AND OUR CANCELLATION AND REFUND POLICY.
These Terms & Conditions (“Terms”) govern your access to and use of the Saolful website at www.saolful.com (the “Website”), your purchase of tickets to Saolful events, your purchase of merchandise from Saolful, and any related services we provide (collectively, the “Services”). By using the Website, purchasing a ticket or merchandise, or otherwise engaging with the Services, you agree to be bound by these Terms.
If you do not agree to these Terms, you must not use the Services.
1. Operator and contact details
The Services are operated by Saolful Pty Ltd (ACN 680 296 191) (“Saolful”, “we”, “us”, “our”).

2. Third-party platforms
Saolful uses third-party platforms to operate parts of the Services, including:

Ticketing: ticket purchases may be processed via Humanitix, Eventbrite, Stripe or similar platforms.

Payments: payments are processed by third-party payment processors.

Substack: the Saolful newsletter is hosted by Substack Inc. and is subject to Substack’s own terms and policies.

Merchandise: merchandise sales and fulfilment may be facilitated by third-party providers (such as Shopify).
You acknowledge and agree that:

your use of those third-party platforms may be subject to those parties’ separate terms and policies;

Saolful is not responsible for the acts, omissions, outages, failures or security issues of third-party platforms beyond Saolful’s reasonable control; and
-
Saolful relies on those third-party platforms to provide the Services.
3. Definitions
In these Terms, unless the context otherwise requires:

Event means any in-person or online gathering, class or experience offered by Saolful (including, without limitation, the One Of Those Weeks Sunday gathering).

Ticket means a paid or complimentary admission to an Event.

Merchandise means physical goods sold by Saolful through the Website or third-party stores.
-
Content means all materials made available on or through the Website, including text, graphics, images, photographs, audio and video.

You / User means the person accessing the Services or purchasing a Ticket or Merchandise.
4. Eligibility
4.1 Age requirement. Unless expressly stated otherwise, the Services and Events are intended for individuals who are at least 18 years of age. By using the Services, you represent and warrant that you are at least 18 years old.
4.2 Accurate information. You must provide accurate, current and complete information when purchasing a Ticket or Merchandise.
5. Use of the Website
5.1 Licence. Subject to your compliance with these Terms, Saolful grants you a limited, revocable, non-exclusive, non-transferable, non-sublicensable licence to access and use the Website and its Content for your personal, non-commercial use only.
5.2 Restrictions. You must not, and must not attempt to:
-
copy, reproduce, distribute, display, perform, publish, transmit, communicate to the public, sell, resell, rent, lease or otherwise exploit any Content except as expressly permitted;
-
modify, create derivative works from, translate, adapt, reverse engineer, decompile or disassemble any part of the Website or Content;
-
circumvent, disable or otherwise interfere with security-related features;
-
use any robot, spider, scraper or other automated means to access the Website;
-
use the Website for any unlawful purpose or in any manner that infringes the rights of any person;
-
upload or transmit viruses, malware or other harmful code; or
-
attempt to gain unauthorised access to any systems or networks connected to the Website.
5.3 No ownership. You acquire no ownership rights in the Website or Content.
6. Intellectual property
6.1 Ownership. All right, title and interest in and to the Website and Content (including all intellectual property rights) are owned by or licensed to Saolful.
6.2 Trademarks. Saolful names, logos and marks are trademarks of Saolful (or its licensors). You must not use them without our prior written consent.
7. Tickets and events
7.1 Booking. Tickets may be purchased through our third-party ticketing partners. A booking is confirmed when you receive an order confirmation by email.
7.2 Pricing. Ticket prices are displayed at the time of purchase in Australian dollars and (where applicable) include GST. Prices may vary between Events and may change from time to time.
7.3 2-Pack tickets (“Bring a Friend”). Where you purchase a 2-Pack ticket:
-
(a) both tickets are intended for use at the same Event;
-
(b) if one of the two ticket holders is unable to attend, the other ticket holder may attend solo and no partial refund will be issued; and
-
(c) all rules in clause 7.4 (Cancellations and refunds) apply to the 2-Pack as a single booking.
7.4 Cancellations and refunds.
(a) Cancellations by you 24 or more hours before the Event start time. You may cancel your Ticket up to 24 hours before the scheduled Event start time. Where you cancel within this window, you are entitled to a refund of the Ticket price or, at your option, a credit transferable to a future Saolful Event of equivalent value, less any non-refundable third-party processing fees (such as ticketing platform fees) that we are unable to recover.
(b) Cancellations by you within 24 hours of the Event start time. Cancellations made less than 24 hours before the scheduled Event start time are non-refundable, and credits will not be issued, except as required by law (see clause 7.4(d)).
(c) Cancellations by Saolful. If Saolful cancels or significantly reschedules an Event, you will be offered a full refund of the Ticket price or a credit transferable to a future Event of equivalent value.
(d) Australian Consumer Law. Nothing in this clause excludes, restricts or modifies any rights or remedies you may have under the Australian Consumer Law that cannot lawfully be excluded, including in respect of major failures. Where a major failure occurs, you are entitled to a refund or a replacement at your election.
7.5 Transfers. Tickets may not be resold for profit. You may transfer your Ticket to another person at no charge by notifying us by email at least 24 hours before the Event start time, provided the new ticket holder agrees to these Terms.
7.6 No-shows. Failure to attend an Event without prior cancellation in accordance with clause 7.4 will be treated as a no-show. No refund or credit will be issued for no-shows except as required by law.
7.7 Capacity and admission. Events have limited capacity. We reserve the right to refuse entry to anyone who arrives without a valid Ticket, after the Event has commenced, or whose conduct (in our reasonable view) is unsafe, unlawful or significantly disruptive.
7.8 Code of conduct. Saolful Events are intended to be welcoming and respectful spaces. You agree to behave in a respectful, lawful and non-disruptive manner at all Events. We reserve the right to remove any participant whose conduct breaches this clause, without refund.
7.9 Photography and recording. Photographs, audio and video may be taken at Saolful Events for promotional and editorial purposes (including on the Website, on social media, in the Substack newsletter and in printed materials). By attending an Event, you consent to being photographed or recorded and to those images and recordings being used by Saolful for such purposes. If you do not wish to be photographed or recorded, please notify a Saolful team member on arrival; we will use reasonable efforts to accommodate your request.
8. Merchandise
8.1 Orders. Merchandise orders are subject to availability and confirmation. We may decline or cancel any order at our discretion, including in the event of pricing errors or suspected fraud.
8.2 Pricing. Merchandise prices are displayed at the time of purchase in Australian dollars and (where applicable) include GST. Shipping costs are additional and shown at checkout.
8.3 Shipping and delivery. Delivery estimates are indicative only. We are not responsible for delays caused by third-party carriers or events beyond our reasonable control.
8.4 Returns and exchanges. Subject to your rights under the Australian Consumer Law:

(a) Faulty or incorrect items: if Merchandise is faulty, damaged on arrival, or not as described, please contact us at info@saolful.com within 14 days of receipt. We will provide a refund, replacement or repair in accordance with the Australian Consumer Law.

(b) Change of mind: change-of-mind returns are not accepted unless we expressly state otherwise at the time of purchase.
9. Newsletter (Substack)
9.1 Saolful’s newsletter is hosted by Substack Inc. By subscribing, you agree to Substack’s own terms and privacy policy, which are available on the Substack website.
9.2 You may unsubscribe at any time using the unsubscribe link in any email or by managing your subscription through Substack.
10. Health and medical disclaimer
10.1 Not medical advice. Saolful is not a medical organisation and does not provide medical advice, diagnosis or treatment. Content and Events are provided for general informational, educational and wellbeing purposes only.
10.2 Consult a professional. You should consult a qualified healthcare professional before commencing any exercise program or wellness practice, including if you are pregnant, breastfeeding, recovering from injury, have a medical condition or disability, or are taking medication.
10.3 Disclose what you need. We encourage you to disclose any relevant health, injury or accessibility information when booking a Ticket so we can support your safe participation. You remain responsible for ensuring that participation in the Event is appropriate for you.
10.4 Stop if unwell. You must stop participating immediately if you experience pain, dizziness, nausea, shortness of breath, or any other adverse symptoms, and seek medical advice.
10.5 No guarantees. Saolful makes no representations or warranties regarding outcomes, results, or suitability of Content or Events for your particular circumstances.
11. Assumption of risk; recreational services warning
11.1 Inherent risks. Fitness, movement and wellbeing activities involve inherent risks, including the risk of injury.
11.2 Assumption of risk. To the maximum extent permitted by law, you voluntarily assume all risks associated with your participation in any Event or activity facilitated by Saolful.
11.3 Recreational services warning. To the extent Saolful supplies “recreational services” within the meaning of section 139A of the Competition and Consumer Act 2010 (Cth), the consumer guarantees set out in sections 60 and 61 of the Australian Consumer Law that relate to the supply of those recreational services do not apply to the extent permitted by law. You acknowledge that, to the extent permitted by law, Saolful excludes liability for personal injury arising from a failure to comply with those guarantees.
12. Availability; changes to Services
12.1 Saolful may add, remove, modify or discontinue any Event, Content, feature or product at any time.
12.2 The Website may be unavailable from time to time due to maintenance, outages or circumstances beyond our reasonable control.
13. Disclaimer of warranties
To the maximum extent permitted by law, the Services are provided on an “as is” and “as available” basis. Saolful disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose and non-infringement.
14. Limitation of liability
14.1 Consumer guarantees. Nothing in these Terms excludes, restricts or modifies any rights or remedies that cannot lawfully be excluded under the Australian Consumer Law or other applicable law.
14.2 Exclusion of indirect loss. To the maximum extent permitted by law, Saolful is not liable for any indirect, incidental, special or consequential loss, including loss of profit, revenue, data, goodwill or opportunity.
14.3 Liability cap. To the maximum extent permitted by law, Saolful’s total aggregate liability arising out of or in connection with the Services (whether in contract, tort (including negligence), statute or otherwise) is limited to the greater of:
-
(a) the total amount paid by you to Saolful for the relevant Ticket or Merchandise giving rise to the claim; or
-
(b) AUD $100.
15. Indemnity
You agree to indemnify and hold harmless Saolful, its officers, directors, employees, contractors and agents from and against any claims, liabilities, damages, losses and expenses (including reasonable legal costs) arising out of or relating to:
-
your breach of these Terms;
-
your misuse of the Services; or
-
your violation of any law or the rights of any third party.
16. Termination and suspension
16.1 Saolful may suspend or terminate your access to the Services immediately if we reasonably believe you have breached these Terms, engaged in fraudulent or unlawful conduct, or otherwise misused the Services.
16.2 Upon termination, the licence granted to you under these Terms immediately ends and you must cease use of the Services.
17. Privacy
Our Privacy Policy forms part of these Terms and explains how we collect, use and disclose personal information. The Privacy Policy is available on the Website.
18. Notices
We may send notices to you electronically (including by email or via the Website). You consent to receiving communications electronically.
19. Changes to these Terms
We may amend these Terms from time to time. The most current version will be posted on the Website. By continuing to use the Services after changes take effect, you agree to the updated Terms.
20. Governing law and jurisdiction
These Terms are governed by the laws of Victoria, Australia. You submit to the non-exclusive jurisdiction of the courts of Victoria and the Commonwealth of Australia.
21. General
21.1 Severability. If any provision is invalid or unenforceable, it will be severed to the extent necessary and the remainder will remain in force.
21.2 Entire agreement. These Terms, together with any policies referenced (including the Privacy Policy), constitute the entire agreement between you and Saolful regarding the Services.
21.3 No waiver. A failure to enforce any right is not a waiver of that right.

Generally speaking, T&C often address these types of issues: Who is allowed to use the website; the possible payment methods; a declaration that the website owner may change his or her offering in the future; the types of warranties the website owner gives his or her customers; a reference to issues of intellectual property or copyrights, where relevant; the website owner’s right to suspend or cancel a member’s account; and much much more.
