IMPORTANT NOTICE: PLEASE READ THESE TERMS & CONDITIONS CAREFULLY. THESE TERMS CONTAIN IMPORTANT INFORMATION ABOUT YOUR LEGAL RIGHTS AND OBLIGATIONS, INCLUDING LIMITATIONS OF LIABILITY AND ASSUMPTION OF RISK.
These Terms & Conditions ("Terms") govern your access to and use of the Saolful website and any related applications, interfaces, features and services through which Saolful content is made available (collectively, the "Platform"). By accessing, browsing, registering for, subscribing to, or otherwise using the Platform, you agree to be bound by these Terms.
If you do not agree to these Terms, you must not access or use the Platform.
1. Operator and Contact Details
The Platform is operated by Saolful Pty Ltd (ACN 680 296 191) ("Saolful", "we", "us", "our").

2. Platform Provider; Third-Party Services (Uscreen)
The Platform is hosted and operated using Uscreen and its related infrastructure, software and service providers. Subscriptions, account management and payment processing may be facilitated through Uscreen and/or third-party payment processors (together, "Third-Party Services").
You acknowledge and agree that:

your use of Third-Party Services may be subject to the third party’s separate terms and policies;

Saolful is not responsible for the acts, omissions, outages, failures or security issues of Third-Party Services beyond Saolful’s reasonable control; and
-
Saolful may rely on Third-Party Services to provide the Platform and process payments.
3. Definitions
In these Terms, unless the context otherwise requires:

Account means the user account you create to access the Platform.

Content means all materials made available on or through the Platform, including videos, audio, classes, programs, recipes, text, graphics, images, and any other information or content.

Subscription means a paid recurring membership granting access to the Platform.

Subscription Fees means the fees payable for your Subscription, as displayed at the time of purchase and as updated in accordance with these Terms.

You / User means the person accessing or using the Platform.
4. Eligibility and Account Registration
4.1 Age requirement. Unless expressly stated otherwise, the Platform is intended for individuals who are at least 18 years of age. By using the Platform, you represent and warrant that you are at least 18 years old.
4.2 Accurate information. You must provide and maintain accurate, current and complete information when creating and maintaining your Account.
4.3 Account security. You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your Account. You must notify us immediately if you suspect any unauthorised access or use of your Account.
4.4 Single-user access. Unless expressly authorised in writing by Saolful, your Account and Subscription are personal to you and must not be shared with any other person.
5. Grant of Licence; Permitted Use
5.1 Licence. Subject to your compliance with these Terms and payment of applicable Subscription Fees, Saolful grants you a limited, revocable, non-exclusive, non-transferable, non-sublicensable licence to access and use the Platform and Content for your personal, non-commercial use only.
5.2 Restrictions. You must not, and must not attempt to, directly or indirectly:

copy, reproduce, distribute, display, perform, publish, transmit, broadcast, communicate to the public, upload, post, sell, resell, rent, lease, lend, or otherwise exploit any Content except as expressly permitted by these Terms;

use the Content to teach, instruct, or conduct classes or programs (whether for payment or otherwise);
-
modify, create derivative works from, translate, adapt, reverse engineer, decompile or disassemble any part of the Platform or Content;
-
circumvent, disable, tamper with or otherwise interfere with security-related features, DRM or access controls;
-
use any robot, spider, scraper or other automated means to access the Platform;
-
use the Platform for any unlawful purpose or in any manner that infringes the rights of any person;
-
upload or transmit viruses, malware or other harmful code; or
-
attempt to gain unauthorised access to any systems or networks connected to the Platform.
5.3 No ownership. You acquire no ownership rights in the Platform or Content.
6. Intellectual Property
6.1 Ownership. All right, title and interest in and to the Platform and Content (including all intellectual property rights) are owned by or licensed to Saolful.
6.2 Trademarks. Saolful names, logos and marks are trademarks of Saolful (or its licensors). You must not use them without prior written consent.
7. Subscriptions, Billing and Payments
7.1 Plans and fees. Subscription plans, features and Subscription Fees are displayed at the time of purchase and may vary by plan, currency and region.
7.2 Payment processing. Payments are processed via Uscreen and/or third-party payment processors. You authorise Saolful (and/or its payment processors) to charge your selected payment method for Subscription Fees, taxes and any applicable charges.
7.3 Automatic renewal. Unless cancelled before the renewal date, your Subscription will automatically renew for the same billing period and your payment method will be charged the then-current Subscription Fees.
7.4 Failed payments. If payment is unsuccessful, your access to the Platform may be suspended or terminated until payment is received.
7.5 Price changes. Saolful may change Subscription Fees from time to time. Where required by law, we will provide notice prior to the change taking effect. Continued use after the effective date constitutes acceptance of the updated fees.
8. Cancellation and Refunds
8.1 Cancellation. You may cancel your Subscription at any time through your Account settings or the billing interface provided by Uscreen (or the relevant third-party platform if you subscribed via that platform).
8.2 No refunds (subject to law). Unless required by applicable law (including the Australian Consumer Law), Subscription Fees are non-refundable and we do not provide refunds or credits for partially used billing periods, unused access, accidental purchases, change of mind, or any other reason.
8.3 Access until end of period. Upon cancellation, you will generally retain access until the end of your current billing period (subject to any suspension or termination under these Terms).
9. Acceptable Use; Community Features
9.1 Where the Platform permits comments, community or interactive features, you agree that any content you submit will be lawful, respectful and not defamatory, abusive, obscene, threatening, misleading, or infringing.
9.2 We may remove user content, restrict features, or suspend/terminate Accounts where we reasonably consider it necessary to protect users, the Platform, or Saolful’s rights.
10. Health and Medical Disclaimer
10.1 Not medical advice. Saolful is not a medical organisation and does not provide medical advice, diagnosis or treatment. Content is provided for general informational and educational purposes only.
10.2 Consult a professional. You should consult a qualified healthcare professional before commencing any exercise program, dietary change, or wellness practice, including if you are pregnant, breastfeeding, have a medical condition, injury, disability, or are taking medication.
10.3 Stop if unwell. You must stop immediately if you experience pain, dizziness, nausea, shortness of breath, or any other adverse symptoms and seek medical advice.
10.4 No guarantees. Saolful makes no representations or warranties regarding outcomes, results, or suitability of Content for your circumstances.
11. Assumption of Risk; Recreational Services Warning
11.1 Inherent risks. Fitness and wellness activities involve inherent risks, including the risk of injury or death.
11.2 Assumption of risk. To the maximum extent permitted by law, you voluntarily assume all risks associated with your access to and use of the Platform and participation in any activities depicted or described.
11.3 Recreational services. To the extent Saolful supplies "recreational services" or "recreational activities" within the meaning of the Competition and Consumer Act 2010 (Cth) and applicable state/territory civil liability legislation, you acknowledge this risk warning and that you engage in those services at your own risk.
12. Availability; Changes to the Platform and Content
12.1 Saolful may add, remove, modify or discontinue any Content, features or functionality at any time.
12.2 The Platform may be unavailable from time to time due to maintenance, outages or circumstances beyond our reasonable control.
13. Disclaimer of Warranties
To the maximum extent permitted by law, the Platform and Content are provided on an “as is” and “as available” basis. Saolful disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose and non-infringement.
14. Limitation of Liability
14.1 Consumer guarantees. Nothing in these Terms excludes, restricts or modifies any rights or remedies that cannot lawfully be excluded under the Australian Consumer Law.
14.2 Exclusion of indirect loss. To the maximum extent permitted by law, Saolful is not liable for any indirect, incidental, special or consequential loss, including loss of profit, revenue, data, goodwill, or opportunity.
14.3 Liability cap. To the maximum extent permitted by law, Saolful’s total aggregate liability arising out of or in connection with the Platform (whether in contract, tort (including negligence), statute or otherwise) is limited to the greater of:

the total Subscription Fees paid by you to Saolful in the 12 months immediately preceding the event giving rise to the claim; or AUD $100.
15. Indemnity
You agree to indemnify and hold harmless Saolful, its officers, directors, employees, contractors and agents from and against any claims, liabilities, damages, losses and expenses (including legal costs on an indemnity basis) arising out of or relating to:

your breach of these Terms;

your misuse of the Platform or Content; or
-
your violation of any law or the rights of any third party.
16. Termination and Suspension
16.1 Saolful may suspend or terminate your Account and/or access to the Platform immediately if we reasonably believe you have breached these Terms, engaged in fraudulent or unlawful conduct, or otherwise misused the Platform.
16.2 Upon termination, the licence granted to you under these Terms immediately ends and you must cease use of the Platform and Content.
17. Privacy
Our Privacy Policy forms part of these Terms and explains how we collect, use and disclose personal information.
18. Notices
We may send notices to you electronically (including by email or via the Platform). You consent to receiving communications electronically.
19. Changes to These Terms
We may amend these Terms from time to time. The most current version will be posted on the Platform. By continuing to use the Platform after changes take effect, you agree to the updated Terms.
20. Governing Law and Jurisdiction
These Terms are governed by the laws of New South Wales, Australia. You submit to the non-exclusive jurisdiction of the courts of New South Wales and the Commonwealth of Australia.
21. General
21.1 Severability. If any provision is invalid or unenforceable, it will be severed to the extent necessary and the remainder will remain in force.
21.2 Entire agreement. These Terms, together with any policies referenced, constitute the entire agreement between you and Saolful regarding the Platform.
21.3 No waiver. A failure to enforce any right is not a waiver of that right.
